Terms of Service

1. Acceptance of Terms
By accessing or using the Next Opay platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service.
These Terms constitute a legally binding agreement between you (or the organisation you represent) and Next Oasis Group Ltd, registered in England and Wales under company number 14976174 ("Next Opay", "we", "us", "our").
These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
2. The Service
Next Opay is an AI-powered WhatsApp payment collection platform that enables organisations to collect payments from their members and customers through conversational bot interactions.
We provide software technology, not financial services directly. All payment processing is provided by Stripe, Inc. and its affiliates, who are separately regulated and licensed. Your use of payment processing features is also subject to Stripe's Terms of Service.
We reserve the right to modify, suspend or discontinue the Service (or any part thereof) at any time, with reasonable notice where practicable.
3. Account Registration
To access the full features of Next Opay, your organisation must complete the registration process and provide accurate, complete and current information. You agree to keep this information up to date.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. The following uses are expressly prohibited:
Fraudulent Transactions
Processing payments for fraudulent, deceptive or misleading purposes.
Spam & Unsolicited Messages
Sending unsolicited commercial messages or operating spam campaigns via the platform.
Illegal Goods or Services
Collecting payments for goods or services that are unlawful in the UK or recipient's jurisdiction.
Impersonation
Impersonating any person, organisation or entity, or misrepresenting your affiliation with any party.
Platform Abuse
Attempting to interfere with, disrupt or gain unauthorised access to the platform or its infrastructure.
Money Laundering
Using the platform in connection with any activity involving proceeds of crime or money laundering.
5. Payment Terms
Platform Subscription: Where applicable, platform subscription fees are invoiced monthly in advance. All fees are stated in GBP and exclusive of VAT unless otherwise indicated.
Stripe Transaction Fees: Payment processing fees are charged by Stripe directly in accordance with Stripe's published pricing. These fees are deducted automatically from payment proceeds.
Application Fees: Next Opay may charge application fees on transactions processed through the platform. The applicable fee rate is configured in your organisation's platform settings.
Late Payment: Overdue subscription invoices may attract interest at 8% per annum above the Bank of England base rate in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
6. Intellectual Property
The Next Opay platform, including its software, design, branding, trademarks, logos and documentation, is owned by Next Oasis Group Ltd and protected by applicable intellectual property laws. You may not copy, modify, distribute or create derivative works without our prior written consent.
Your data remains yours. You retain ownership of all data you input into the platform, including your organisation's transaction data, contact information and configuration settings. We process this data solely to provide the Service to you.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Next Oasis Group Ltd shall not be liable for any indirect, incidental, special, consequential or punitive losses, including but not limited to: loss of profits, loss of data, loss of goodwill, business interruption, or the cost of procuring substitute services.
Our total aggregate liability to you in connection with the Service shall not exceed the total fees paid by you to us in the three months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by English law.
8. Termination
Either party may terminate these Terms and your access to the Service by providing 30 days' written notice to the other party.
We reserve the right to suspend or terminate your account immediately and without notice in the event of a serious breach of these Terms, including but not limited to: fraudulent activity, material misuse of the platform, or failure to comply with applicable law.
On termination, your access to the Service will cease. We will provide you with a reasonable opportunity to export your data in accordance with our data retention policy set out in our Privacy Policy.
9. Governing Law
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of England and Wales.
Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.
